Fees

Just as the services we provide to clients are completely bespoke, so is the way they pay us.

Some prefer fees. Some prefer to pay nothing now but instead let us share future upside. 

Some prefer combinations of approaches: a stake and a fee, for example, so that both are mitigated.

We’re happy to consider all sorts of arrangements and work out something that’s right for you.

Here are some examples.

FEE
A straight fee for a particular project lasting several weeks or months. A percentage of a production budget for our support negotiating the deal.

STAKE
An equity stake (shares or share options) in return for long-term support across the board.

RETAINER
An annual retainer in return for long-term across-the-board advice.

VALUE ADDED”
A percentage of the proceeds of the sale of the company, but over an agreed threshold.

BONUS
A percentage of the proceeds of the sale of the company.
A bonus if the company exceeds its annual target.

INTRODUCTORY FEES
We usually ask for a small introductory fee, depending on the circumstances.

"COMBINATIONS"
Many of our arrangements are combinations of the above, such as:

-An equity stake plus annual retainer or one-off fee or both.
-An annual retainer followed by a bonus when the company sells.
The type of combination has an effect on the shape of the arrangement.  For example: If we’re paid an annual retainer, that will bring down the size of the stake we ask for. If you’re happy to dispense with the “Value Added” approach, then we’ll accept a smaller “Bonus”.

"RATCHETS AND FLOORS"
Some of our bonus arrangements are ratcheted: a higher percentage above a certain threshold.
Some of our deals include a floor: eg the “Value Added” arrangement above may include a minimum.

"SCALE"
The size of fees, stakes and so on varies considerably, depending on what you need from us, the size and age of the company, the risk to Matisse and a range of other factors. As a guide, the smallest stake we’ve taken to date in a production company is 7.5% and the largest is 20%. 
Fees and retainers range from low tens of thousands to
six figure sums.
